Acting as a point of communication between the board of directors and shareholders; reporting in a timely and accurate manner on company procedures and developments and provide company information to staff within the business Key Responsibilities :  Ensuring the efficient administration of the Boards of Directors for the internal companies within the Offshore Group through the provision of support and guidance to the directors both as individuals and as a collective;  Scheduling board meetings, attending the meetings to answer questions in respect of the matters discussed at the meetings, record the minute of the meetings and duly file and circulated signed copies of the minutes to the directors;  Maintenance of the statutory records of each company, including company registers, to ensure that records are filed and updated in a timely fashion;  Ensure compliance with statutory requirements to file returns such as Annual Returns and notifications of changes in directors or of special resolutions with the regulator in a timely manner;  Providing corporate data to the members, directors and third parties upon request;  Liaising with external regulators and advisors such as lawyers and auditors;  Preparing and submitting applications for licence renewal for each of the entities with the Regulators  Acting as a confidential sounding board to the Chair, Non-Executive and Executive Directors on matters concerning them;  Ensure that Annual Accounts for the Companies are properly completed to reflect changes in corporate data and directorships;  Ensuring that Audited Accounts for the Companies are submitted to the Regulators before the regulatory deadlines;  Working closely with the Compliance Department to ensure that notifications are promptly submitted to the Regulator in relation to changes in the directors;  Creation of a corporate document database of key corporate data for each entity which management can readily access;  Arranging the payment of annual dividends to shareholders;  Maintaining corporate data sheets and structure charts of the entities;  Assisting with restructuring proposals;  Creation of a plan for the Company Secretary to cover all aspects should the requirement be invoked;  Maintenance of Standardised Policies and Procedures to ensure that there is a standardisation of policies and procedures across the Offshore Group. Technical Skills  Essential:  Knowledge of company procedures, both financial and operational, relevant legislation and the legal framework.  An understanding of the legal and regulatory regime within which the Client operates in the Channel islands and the Isle of Man  Ability to be proactive and identify issues which may affect the business Technical Skills - Desired:  Knowledge and understanding of the product range offered by the Client  Working knowledge and experience of the role of the CI and IOM regulatory body Qualifications &amp; Industry Experience - Essential:  Previously worked within a similar role within Jersey, Guernsey or IoM.  Preferably holds a professional qualification as a Chartered Company Secretary (ACIS/FCIS)  Qualified Company Secretary with offshore experience.
